These Terms & Conditions (the “Terms”) form a binding agreement between you (the “Customer”) and GuageAI, Inc. (“GuageAI,” “we,” or “us”). By accessing or using the GuageAI platform, connecting integrations, or continuing a subscription, you agree to be bound by these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that entity.
Paid plans are billed in advance on a monthly basis via Stripe or another authorized payment processor. Subscriptions renew automatically unless cancelled prior to the renewal date. You may cancel at any time from the billing page; access will continue through the end of the paid term. If you are not satisfied, we provide a 14-day money-back guarantee and will refund eligible charges upon request.
You retain ownership of all data, code telemetry, and content you submit to GuageAI. You grant us the rights necessary to host, process, and analyze that data for the purpose of providing the service and improving its functionality. We will handle personal data in accordance with our Privacy Policy.
GuageAI aggregates signals from your developer tooling to deliver productivity, quality, and security metrics. While we work diligently to provide accurate, timely insights, the dashboards and recommendations are provided for informational purposes only. GuageAI does not guarantee that metrics are error-free or suitable for every business decision, and you should validate critical insights before acting on them.
Each party agrees to protect confidential information received from the other and to use it only as necessary to fulfill this agreement. Confidential information does not include data that is public, already known to the recipient, independently developed without use of confidential information, or rightfully obtained from a third party.
GuageAI retains all rights, title, and interest in the platform, including software, documentation, and brand assets. No ownership is transferred to you under these Terms. Feedback you provide may be used by GuageAI without restriction to improve the service.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS EXPRESSLY STATED HEREIN, GUAGEAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUAGEAI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
We may suspend or terminate access to the service if you violate these Terms, fail to pay fees, or if your use of the service poses a security or legal risk. Upon termination we will make commercially reasonable efforts to allow you to export your data, except where prohibited by law.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any disputes arising out of or relating to the service will be resolved in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction in those courts.
We may update these Terms from time to time. When we make material changes, we will notify account owners through the dashboard or email. Continued use of the service after updates take effect constitutes acceptance of the revised Terms.
